Terms

If Peak Aminos™ accepts your submission, the term of this Agreement shall commence immediately upon Peak Aminos’ acceptance of your submission and shall continue until the Agreement has been terminated by either party.

Termination

Either party has the right to terminate this Agreement at any time, without cause. Both you and Peak Aminos™ may end this Agreement immediately and without prior notice. If Peak Aminos™ decides to terminate, it may also suspend, restrict, or revoke your access to any Peak Aminos™ accounts and may require you to cease all promotional activities or issue clarifying statements. You agree to fully comply with such instructions without delay.

Compensation

You will receive a 15% commission on any completed orders for products placed by customers using tools provided by Peak Aminos™, including promotional and ambassador codes.

Your payment will be issued by the 7th day of each month for earnings accrued in the previous month.

Exclusive Partnership

During the term of this Agreement, your promotion of Peak Aminos™ will be exclusive to Peak Aminos™. You agree not to promote or endorse any competitor’s pre-workout products or work with any competing company during this period.

Ambassador Conduct

All blog posts, social media updates, tweets, and comments must be respectful and free from profane or inappropriate language. You are also prohibited from posting or promoting content that encourages bigotry, racism, or any form of discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age. Additionally, you agree to avoid sites that promote sexually explicit material, violence, illegal activities, hate speech, or discrimination of any kind.

You further agree to conduct yourself in a professional and positive manner when promoting Peak Aminos™ products, upholding the highest standards of ethics.

Ambassador Codes & 3rd Party Sites

You are prohibited from posting personal coupon codes on coupon code websites, forums, or any Peak Aminos™ social media ads, promotions, or Ambassador pages, posts, or groups. Doing so will violate this Agreement, disqualifying you from earning commissions and potentially leading to suspension or termination from the Peak Aminos™ Ambassador program. Peak Aminos™ retains the right to deactivate any coupon code found or promoted on coupon code sites, including Reddit or any other social media platforms focused on coupon codes and discounts.

Independent Contractor

You are engaged as an independent contractor by Peak Aminos™. You acknowledge and agree that you are entirely responsible for how you perform under this Agreement, and that you are operating as a self-employed individual. You are responsible for the withholding and payment of all taxes and other obligations arising from your services, and you are not eligible to participate in any employee benefit programs offered by Peak Aminos™.

Federal Trade Commission (FTC) Compliance

The FTC has clearly defined best practices for affiliate marketers, and you must comply with these practices while performing your duties as an Ambassador. Download and review the following documents provided by the FTC at your convenience:

When posting about Peak Aminos™ or its products or services on your website, social media, videos, or any other platform, you must clearly disclose your status as a Peak Aminos™ Ambassador and your “material connection” to the brand. This includes disclosing any consideration you’ve received, experiences provided, or payments made in exchange for your promotion. The disclosure should be obvious and placed near any statements about Peak Aminos™ or its products. This requirement applies regardless of the medium’s space constraints (e.g., Instagram), and disclosures can be made via hashtags such as #sponsored.

Your statements should always reflect your honest and genuine opinions and actual experiences. Only make factual claims about Peak Aminos™ or its products that you know to be true and can verify. Transparency and authenticity are essential.

You also agree to refrain from using any language or making claims related to the medical benefits of Peak Aminos™ products or services (such as claims about curing or alleviating diseases or conditions).

Peak Aminos’ Responsibilities

Peak Aminos™ will provide all the necessary information to enable you to create appropriate links from your site to the Peak Aminos™ website. Peak Aminos™ is solely responsible for processing all customer orders made using an ambassador code, tracking sales volume and numbers generated through your site, and providing you with sales data. Additionally, Peak Aminos™ handles order entry, payment processing, shipping, cancellations, returns, and all related customer service matters.

Your Legal Responsibilities

You agree to adhere to the FTC guidelines and all relevant marketing regulations. It is your sole responsibility to ensure that reviews, descriptions, and articles on your site comply with applicable FTC disclosure rules, copyright laws, and other legal requirements. You must obtain explicit permission before using any third-party copyrighted or proprietary material. You further agree that Peak Aminos™ is not liable for any violations on your part as outlined in this agreement. Compliance With This Agreement

Peak Aminos™ reserves the right, at its sole discretion, to monitor your site at any time to ensure compliance with the terms of this Agreement. This includes monitoring for FTC compliance to confirm that your disclosures are properly included and that you are adhering to FTC guidelines. You are expected to fully comply with all applicable FTC regulations.

Governing Law & Jurisdiction

This Agreement will be governed by and interpreted in accordance with the laws of the United States and the state of Indiana. In the event of any conflict, the laws of Indiana will prevail. You consent to the exclusive jurisdiction of the District Courts of Marion County, Indiana, and the U.S. District Court for the District of Indiana for any disputes arising from this Agreement. You further agree that if you breach or threaten to breach this Agreement, Peak Aminos™ may seek, in addition to any other available legal remedies, equitable relief to prevent such a breach, as well as reimbursement for any attorneys’ fees and costs incurred by Peak Aminos™.

Agreement In Full

You represent and agree that no promises, inducements, or agreements, other than those expressly stated in this Agreement, have been made to you. This Agreement is fully integrated, supersedes all prior agreements and understandings between you and Peak Aminos™, and constitutes the complete and entire agreement between the parties.

Agreement Modifications

No oral agreement, statement, promise, undertaking, understanding, arrangement, action, or omission by any party to this Agreement after the date hereof shall be considered an amendment or modification of this Agreement unless it is in writing and signed by both parties or their respective successors or assigns. This Agreement is binding upon and will benefit the parties, their successors, subsidiaries, affiliates, and personal representatives. I acknowledge that I have read and fully agree to the terms outlined in this Agreement.
